terms & conditions for Staysure content creator application

A. Ageism Is Never In Style (AINIS) is a trading name of The Bias Cut Limited (Bias Cut) and in this document the words ‘we’, ‘us’ and ‘ourselves’ include both AINIS and Bias Cut. AINIS is also a registered trademark and wordmark.

B. We make available certain services and features through the Ageism Is Never In Style website (AINIS Website). These include the Ageism Is Never In Style Content Creator and Influencer Network (the Network).

C. If you have signed up to our Network and /or apply for the opportunity to create content for our upcoming collaboration with Staysure (a trading name of TICORP Limited) (Client Collaboration), you agree that the following Terms and Conditions (the Terms) apply. If you do not wish to accept any of the Terms you should not apply.

The Terms:

GENERAL

When you apply for the opportunity to create content for the Client Collaboration, you and your personal data are entered onto our database. Our Privacy Policy applies.
We do not guarantee that an opportunity with the Client Collaboration is appropriate for you and we are not liable for any failure to notify you of any other opportunity that would interest you. We may change the terms and conditions of this or any other opportunity, cancel or withdraw this or any other opportunity, change the requirements of this or any other opportunity and/or the date(s) required for applying and/or participating in this or any other opportunity. We are not liable for the consequences of our doing so.
In notifying you of this opportunity we are not acting as your agent or the agent of any third party with which an opportunity arises. We have a contract with Staysure and all the details in any application you submit to us for consideration as a content creator for the Client Collaboration will be provided to Staysure, including your personal data. Staysure’s privacy policy will apply.
We are not liable in any way for the outcome or consequences of our notifying you of this opportunity to create content for the Client Collaboration or of your applying for or accepting a content creator role if offered, or for your not being selected to create content for the Client Collaboration.
Application for this opportunity is open to UK resident individuals ONLY , with or without an agent, who are not otherwise working with Staysure on their Dream Big campaign, have previously done so, or intend doing so independently. It is not open to professional agents, agencies, organisations or companies. Application from eligible individuals with agents must be submitted individually as we cannot accept applications via agents, and we cannot enter into any contractual agreement with an agent on an applicant’s behalf. If you have an agent you alone are responsible for ensuring that by applying to us directly you are not infringing or breaching the terms of your agreement with your agent and you are solely responsible for any consequences of infringing or breaching that agreement. We shall not pay any additional agency fees or sums if you are selected and have an agent.
We and Staysure have total discretion to select whomsoever we deem appropriate to create content and without explanation as to our choice. Neither we nor Staysure will provide an explanation of why an applicant has or has not been selected.
We have complete discretion to change our decision as to who will create content at any time before we have signed a contract with an individual to create content for the Client Collaboration and neither we nor Staysure shall be liable for the consequences of our changing our decision.
If we shortlist you for the role of content creator for the Client Collaboration you must be available for and attend an online video call the week of 22nd June. You must keep confidential all Confidential Information relating to ourselves or Staysure discussed in this video call.
If you are selected for the role of content creator for the Client Collaboration you must be available during the week of 28th June for an online video call to finalise the content in order to submit the final content to us by End of the Day of Sunday 11th July at the very latest. If you fail to attend that call we may terminate our contract with you with immediate effect and offer the role to another individual
If we offer you the role of our content creator for the Client Collaboration and you wish to accept this offer, you will be required to sign a contract with us for provision of your services. We may withdraw any offer to you to be our content creator at any time before you sign our contract and without explanation or liability for the consequences of withdrawing our offer.
The contract we require you to sign if we select you to create content for the Client Collaboration will include, but not be limited to, the following terms:

a. For creating content for AINIS for the Client Collaboration (Your Content) you will be paid a one off fee of £1500, excluding VAT. You will not be reimbursed for any costs or expenses incurred in connection with creating Your Content.

b. Your Content will be a one off piece of work consisting of a video reel of up to 1 minute 30 seconds, to be featured and shared across the AINIS and Staysure social media channels. You must also share Your Content across your own social media channels and it may be boosted by Staysure and/or AINIS , but it cannot be used for any other purpose not provided for in our Terms.

c. You will retain ownership of and intellectual property rights in the raw footage of your Content and in your own image or likeness as featured in it.

d. We and any licensee will be expressly prohibited from using any form of AI or synthetic media to simulate , replicate or generate your voice, likeness, image or performance. No digital or AI-generated variations may be created or distributed without your previous express written consent.

e. Subject to c. above, AINIS will own the intellectual property rights in Your Content and will grant Staysure a non-exclusive non-transferable royalty free 12 month license to (1) use Your Content for the purposes of the Client Collaboration by posting/resharing on Staysure’s own social channels (with full credit to you); (2) boosting through paid advertising on social media; and (3) whitelisting Your Content through social media, with no mention of AINIS. AINIS will grant you a 12 month non-exclusive, royalty free non -transferable licence to use the name of AINIS in stating that Your Content has been created in collaboration with us

f. Your Content must not infringe the intellectual property rights of any person or third party and you alone will be responsible for the consequences if it does so. You are responsible for ensuring all consents, licences and permissions required to meet your obligations under the contract are obtained and that there has been no infringement of any rights through the use of AI. You must warrant to us that the content you create will not breach any third party IP right, through the use of AI or otherwise.

g. You will keep confidential all Confidential Information relating to AINIS or Staysure and the Client Collaboration and will not use any Confidential Information other than for the purposes of performing your obligations in respect of the Client Collaboration.

h. You warrant that you are suitably skilled and experienced to perform the services required under the contract and will perform them with the highest level of care, skill and diligence.

i. You will be required to comply with relevant financial services regulations and include in your Content any disclaimers required by law.

j. If requested you must be available for press and media interviews and commentary, and share images and footage in conjunction with this.

k. You have not and will not be engaged in any activity that conflicts with AINIS’ core values, including of age positivity, inclusivity, diversity, kindness and inclusion, and/or will not behave in any way that might bring AINIS and/or Staysure into disrepute.

GOVERNING LAW

12. The Terms shall be governed by and construed in accordance with the laws of England and Wales.
